IQ Business Centre، Bolsunovska Street 13–15
01014 Kyiv /

Technical operation and administration

SCANDIC ASSETS FZCO
Dubai Silicon Oasis DDP
Building A1/A2
Dubai — 342001 / United Arab Emirates
Telephone: +971 54 221 5217

SCANDIC ASSETS FZCO provides technical operation and administration within its assigned responsibilities. Providing those services does not, by itself, make it a party to the user’s contract. Each company’s responsibility depends on its actual activities, obligations and applicable law.

1. General provisions

1.1 Scope and formation of the contract

These Terms apply to the “AL HAYAT” website and related applications, news feeds, interfaces, software and other services where they are actually offered and refer to these Terms. They are collectively called the “Services”. A user is a person using a Service. “Consumer” has the meaning assigned by the E-Commerce Law where that law applies.

Users are given the opportunity to read and save the Terms before contracting. A contract is formed through corresponding offer and acceptance under the procedure specified for the relevant Service, which may take place electronically. Merely visiting a publicly accessible page does not, by itself, create a paid subscription or an obligation to accept future amendments. Individually agreed provisions take precedence, subject to mandatory law. Applicable statutory obligations remain independent of whether a contract exists.

1.2 Amendments to the Terms

The Provider may propose amendments for legal reasons or objectively justified reasons relating to a Service. Where an amendment affects an existing contract, the user will receive advance notice of its content, reason and proposed effective date in a form that can be retained and consulted later.

Under these Terms, publication of a revised version or failure to respond does not constitute acceptance of a contractual amendment. Agreed obligations may be amended only by valid agreement or under an applicable statutory provision. This clause does not authorise the unilateral introduction of charges or alteration of an agreed price.

1.3 Refusal of an amendment

If the user does not accept a proposed amendment, the existing contractual terms continue to apply unless mandatory law requires otherwise. The user may stop using the Services or request account closure or subscription termination under section 10.

Refusing an amendment does not, by itself, trigger a penalty or additional charge. Both parties retain any right to terminate under applicable law or a valid contractual ground.

1.4 Changes to or discontinuation of Services

Technical changes may be made where necessary for security, legal compliance or compatibility with relevant systems and interfaces. Users will receive advance notice of changes affecting contracted Services where practicable, or notice as soon as possible where urgent action is necessary.

This clause does not authorise the cancellation or substantial reduction of an agreed paid benefit without addressing the user’s rights. If the contracted element cannot continue and no alternative is agreed, the user may terminate the affected element and recover the advance payment attributable to the part not supplied. Service changes must not circumvent termination or compensation rights.

2. Content and copyright

2.1 Protected content

“Content” includes journalistic texts, photographs, video, audio recordings, illustrations, designs, databases, software and other material available through the Services. Content is made available for personal, non-commercial use unless the relevant licence or applicable law permits another use.

Copyright and related rights belong to the Provider or the relevant rights holders to the extent that legal protection exists. This clause does not create exclusive rights in bare facts or unprotected daily news.

2.2 Further use

Copying, translating, adapting, distributing or making protected content available to the public requires valid permission unless authorised by law. Statutory exceptions, including qualifying quotations, remain applicable. Attribution does not replace permission where permission is required.

2.3 Downloading and copying

Downloading and copying are permitted within the scope allowed by the Service, licence or law. Author, source and rights information must be preserved as required by law and valid licence terms. Unlawful circumvention of technical measures or removal of rights management information is prohibited.

2.4 Third-party material

Content may include material supplied by news agencies, photographers, writers or other parties. Its use does not release the Provider from responsibility for its own conduct. Each party’s responsibility depends on its role and applicable law, subject also to section 5.

2.5 Text and data mining and artificial intelligence

Automated copying and use of works to develop artificial intelligence are governed by the Copyright Law, including the conditional exception in Article 26 and the requirements of its Implementing Regulations. The reservation of rights in these Terms does not override a use permitted by law. The exception does not authorise republication or exploitation beyond its scope.

3. User content, comments and reviews

3.1 Publication rules

This section applies where a Service allows users to contribute content. Users must not publish unlawful material, threats, harassment, defamation, personal attacks, material inciting violence or hatred, or material infringing copyright, privacy or other protected rights.

Impersonation, unlawful disclosure of another person’s data, pornographic content, unsolicited bulk messages and repetitive contributions disrupting the Service or discussion are also prohibited. A difference of opinion or lawful criticism alone is not grounds for removal. Measures concerning violations are governed by clauses 3.4 and 10.2.

3.2 Advertising in user content

User contribution areas are primarily intended for non-commercial communication. Advertising, fundraising appeals and offers to sell goods or services require the Provider’s prior permission, together with any licence or approval required by law.

Products or services may be mentioned where relevant to the contribution and where the reference is not disguised advertising. Approval for publication does not remove requirements concerning advertising legality or identification.

3.3 Licence to user content

Users retain their rights in submitted content. By accepting these Terms and submitting content for publication, the user grants the Provider a non-exclusive, royalty-free licence limited to storing, technically reproducing and making that content publicly available through the Service to which it was submitted, for the duration of its authorised publication.

The licence extends geographically to places from which the Service can be accessed online. It permits technical formatting and presentation changes necessary for that purpose, without altering meaning. Technical contractors may carry out those activities only as necessary to provide the Service on the Provider’s behalf.

The licence does not include separate advertising use, a general right to license the content to others, AI model training outside the specified purpose or an assignment of all the user’s future works. Moral rights and rights that cannot lawfully be waived remain protected. Uses independently permitted by law are unaffected.

3.4 Content restrictions and objections

Content may be restricted, disabled or removed if it breaches these Terms or applicable law, or to comply with a binding order. The measure must be proportionate to the nature, seriousness and recurrence of the violation.

Where legally permitted and reasonably practicable, the user will be informed of the reason and how to object. Objections may be sent to the address in clause 11.4. Urgent action to protect rights or security does not prevent a subsequent objection. Specific copyright notification and counter-notification procedures apply where their conditions are met.

3.5 Removal and retention of content

Users may request removal of their contributions. Removal ends the Provider’s authority to make the contribution publicly available under clause 3.3.

Additional copies may be retained only to the extent justified by law, an existing obligation, the establishment or defence of legal claims, or the deletion cycle for backups. Retention does not, by itself, authorise republication. Rights concerning destruction of personal data remain subject to data protection law.

3.6 Reviews and conflicts of interest

A person involved in producing, distributing or promoting a product, service or work must not present their review as an independent consumer opinion. Relevant commercial relationships or compensation must be disclosed clearly, including when reviewing competitors where a conflict exists.

Fabricated reviews, misleading paid reviews and manipulation of ratings are prohibited.

4. Use of the Services

4.1 Technical requirements and system protection

Use of the website requires an internet-connected device and a suitable browser. Any particular compatibility or equipment requirements for additional Services will be disclosed before contracting.

Unauthorised access to accounts or systems, distribution of malicious software, unlawful circumvention of security or access restrictions, disruption and intentional harmful overloading are prohibited. Properly authorised security testing and activities permitted by law remain unaffected.

4.2 Advertising and external links

The Services may contain advertisements, sponsored material and links to external websites. Commercial content is identified according to its nature. Transactions with an external party are governed by the contract concluded with that party.

A link does not, by itself, guarantee all content on the destination website or undertake the obligations of its operator. The Provider remains responsible for its own advertisements, offers and conduct and for breaches of its statutory duties.

5. Obligations, service defects and liability

5.1 User responsibility

Users may submit or use content only where they hold the necessary rights or permissions or have a lawful basis for doing so. Liability for a breach is determined under the applicable requirements, including harm and its connection to the conduct concerned.

These Terms do not impose an unlimited obligation to reimburse every third-party claim or every expense incurred by the Provider, regardless of its validity or cause. Claims for compensation or costs require a valid legal or contractual basis.

5.2 Performance and remedies

The Provider must supply contracted Services in accordance with their agreed description, scope, duration and disclosed requirements. If a Service is not supplied or does not conform to the agreement, the user may seek the appropriate contractual or statutory remedy, including performance, correction, termination, repayment or compensation where the requirements for that remedy are met.

Maintenance or technical faults do not automatically exclude these rights. Archived journalism must be understood in its publication context. Keeping an article in an archive does not promise continuous updating of every historical statement.

5.3 Limits of liability

The Provider’s liability is governed by applicable law. These Terms do not exclude liability for harmful acts or compensation for fraud or gross fault in contractual performance, consistently with Article 173 of the Civil Transactions Law.

Describing a Service as subject to operational availability does not extinguish statutory rights or express commitments. General published content is not professional advice tailored to an individual user’s circumstances unless such advice has been expressly contracted for.

5.4 Service complaints

Complaints may be submitted to [email protected] or the correspondence address. They should identify the Service, describe the problem, provide contact details and state the remedy sought, with an order number where available.

Receipt will be acknowledged, and the user will receive the outcome and reasons within a period appropriate to the issue and applicable legal requirements. Refunds due will be made without undue delay, subject to any binding deadline. A complaint is not conditional on waiving rights or withdrawing a report made to a competent authority.

6. User accounts

6.1 Registration and account information

Where registration is offered, users must provide accurate and current information to the extent necessary for the Service. Required information and its purpose will be identified when collected.

Creating an account does not constitute consent to advertising, behavioural tracking or public disclosure of the user’s real name. Identity verification must be proportionate and lawful. Copies of official identification documents will be requested only where legally permitted.

6.2 Protection of access credentials

Users must take reasonable care to protect their credentials against unauthorised use and notify the Provider where there are substantial grounds to suspect account misuse.

Responsibility for activity through an account depends on the facts, evidence and applicable law. The account holder is not automatically responsible for every consequence of another person’s use of their credentials. The Provider’s records are not conclusive evidence immune from challenge.

6.3 Temporary account restrictions

Access may be restricted proportionately where specific grounds concern misuse, a material breach, a security risk or a legal obligation. A temporary restriction must not continue longer than its justification requires.

Users may contact the Provider to challenge the restriction or resolve the problem unless prohibited by law or a binding order. Restriction alone does not extinguish refund rights or other available remedies.

6.4 Capacity and minors

Contractual capacity is governed by the Civil Transactions Law. Its age of majority is 18 completed Hijri years, subject to the other requirements for capacity and the rules concerning guardianship and authorised transactions.

Where a transaction requires the approval or participation of a legal guardian, account creation or entering an age in a form does not replace that requirement. Anyone contracting for a legal entity must have authority to do so. Requirements for processing minors’ data apply separately. This clause does not establish a general minimum age for reading publicly accessible news.

7. Paid Services and consumer rights

7.1 Orders and payment obligations

Payment obligations arise only under a valid contract for a paid Service. Before an order is completed, the Service’s characteristics, total price, currency, applicable taxes and charges, payment method and frequency, duration, automatic renewal and cancellation arrangements will be disclosed.

Users may review and correct order information, and the action creating a payment obligation will be clearly identified. Preselected options do not authorise unaccepted additional charges. A contract confirmation, invoice and copy of the Terms, or a means of retaining them, will be supplied. Publishing new Terms does not convert a free Service into a paid one.

7.2 Seven-day cancellation right and exceptions

Where Article 13 of the E-Commerce Law applies, consumers may cancel within seven days following receipt of a product or conclusion of a service contract, provided they have not used the product or benefited from the Service or either of them, subject to statutory exceptions. Consumers bear cancellation costs lawfully chargeable to them unless otherwise agreed.

The law excludes purchases of newspapers, magazines, publications and books, and certain software transactions. The exception depends on the actual subject of the offer; not every Service is excluded merely because a newspaper supplies it. Warranty, non-conformity and non-performance rights remain unaffected.

7.3 Notice of cancellation or termination

Notice may be sent to [email protected] or the correspondence address. A clear statement identifying the contract and request is sufficient, together with the grounds where the right exercised requires them. The following form is optional and does not replace the legal or contractual conditions for the relevant right.

Optional cancellation or termination notice

To: SCANDIC TRUST GROUP LLC
IQ Business Centre, Bolsunovska Street 13–15
01014 Kyiv / Ukraine
Email: [email protected]

I give notice that I wish to cancel or terminate the contract identified below under the applicable statutory or contractual right:

Service or subscription:
Contract date:
Order number, if available:
Type of request and grounds, where applicable:
User’s name:
Contact details:
Date:

7.4 Subscriptions, trials and renewal

Subscription duration, the price for each period, automatic renewal and arrangements for stopping renewal will be specified before ordering. A trial creates a subsequent payment obligation only where the transition to the paid Service and its price were clearly disclosed and accepted.

Opening an account does not itself create a subscription. Renewal for a subsequent period may be stopped under the agreed terms without charges that were not validly accepted. Ending the current period and recovering its price depend on the grounds for termination, the contract and statutory rights.

Accepting a subscription does not constitute consent to separate advertising uses of personal data.

7.5 Delayed delivery or performance

Article 14 of the E-Commerce Law governs cancellation and repayment for delay. The agreed deadline applies; where no other period is agreed, the law provides the right after more than 15 days from contracting, subject to its force majeure exception.

Consumers will be informed of expected delays or difficulties materially affecting performance. Technical faults do not automatically constitute force majeure.

8. Communications with users

8.1 Newsletters and marketing

Under these Terms, optional newsletters and marketing messages are sent with the recipient’s prior consent. The sender and nature of the communication will be clearly identified. Recipients may unsubscribe free of charge through the link provided or by emailing [email protected].

Creating an account or entering a contract does not independently constitute consent to direct marketing. The Personal Data Protection Law and its Implementing Regulations govern consent, withdrawal and stopping communications.

8.2 Operational and contractual notices

Messages necessary to perform the contract, protect the account, communicate a matter affecting the Service or meet a legal obligation may be sent. They must not be used to circumvent marketing requirements.

Opting out of advertising does not prevent delivery of a genuinely necessary contractual or security notice.

8.3 Statistics and tracking technologies

Processing of usage information is governed by the Personal Data Protection Law and the Privacy Policy. Statistics involving personal data require a lawful basis and the applicable information to be provided.

Pseudonymised data is not automatically anonymous. Acceptance of these Terms is not blanket consent to cookies, tracking or data sharing. Separate consent will be obtained where required.

8.4 Surveys and optional participation

Participation in surveys and activities described as optional is voluntary. Required information about processing will be provided before personal data is collected. Refusing to participate does not, by itself, remove rights under an existing Service.

9. Software and applications

9.1 Licensing and user rights

Software and applications are governed by their applicable licences and contracts. Restrictions must not be interpreted as removing statutory exceptions for backups, maintenance, error correction, interoperability or security testing where their conditions are met.

Relevant open-source licences also apply. A software update must not be used to impose an unaccepted contractual amendment or extinguish an existing right.

10. Ending the contractual relationship

10.1 Termination by the user

Users may request closure of a free account at any time by emailing [email protected]. Paid subscriptions end in accordance with the agreed duration and termination terms, together with statutory cancellation and early termination rights.

The request should identify whether it concerns account closure, subscription termination or both. Account closure is not a waiver of a refund due or another claim. A request to destroy personal data and termination of a contract are separate acts whose effects depend on the request and applicable law.

10.2 Termination by the Provider

The Provider may terminate on a valid statutory or contractual ground, particularly a material breach. Where the breach can be remedied and urgent action is unnecessary, the user will receive notice and a reasonable opportunity to remedy it.

The measure must be proportionate to the breach. Repeated established infringements may result in account restriction or termination. Termination must not circumvent service or refund obligations. Existing claims, settlement of advance payments and data protection obligations remain governed by law and contract.

11. Additional provisions

11.1 Governing law and jurisdiction

Contractual relationships into which these Terms have been validly incorporated are governed by the laws of Saudi Arabia, subject to applicable mandatory provisions.

Jurisdiction is determined by binding procedural rules. These Terms do not establish an arbitration agreement or a general exclusive foreign-court clause, and do not exclude a right to approach a competent authority or court.

11.2 Personal data and privacy

The Privacy Policy identifies the controller, processing purposes and legal grounds, data categories, recipients, retention arrangements, rights and methods of exercising them.

Acceptance of these Terms is not blanket consent to processing and does not replace specific consent where required. Processing entrusted to service providers and transfers outside Saudi Arabia must meet the applicable statutory requirements. Journalistic activity does not, by itself, create a general exemption from data protection law.

11.3 Notices and electronic evidence

Notices, requests and complaints may be sent to the email or correspondence address in these Terms. Any legally required form or special method of service remains applicable.

Electronic contracts, correspondence and records are assessed under the Electronic Transactions Law and the Law of Evidence. Evidence is not excluded merely because it is electronic, but no message or record is automatically authentic or binding: attribution, integrity, meaning and applicable rights of challenge must be considered.

11.4 Reporting unlawful content and objections

Reports and objections may be sent to [email protected], identifying the content URL or decision, the grounds and contact details.

A copyright notice under Article 83 of the Copyright Law’s Implementing Regulations must include:

- The notifier’s name, capacity, address and contact details.

- The protected right and the alleged infringement.

- The electronic location of the content.

- A declaration of ownership or authority to represent the rights holder and absence of the relevant licence or authorisation.

- A declaration that the notice is submitted in good faith.

Removal, disabling access and counter-notification are governed by Articles 84 and 85, including the 48-working-hour deadline where applicable. These procedures do not prevent proceedings before the competent court.

11.5 Complaints and amicable settlement

An amicable resolution may be requested through the contact channels above. This does not waive claims or create an additional precondition for judicial protection. Any preliminary step required by law for the particular dispute remains applicable.

Reports within the Ministry of Commerce’s remit may be submitted through its official channels at mc.gov.sa. Copyright matters may be referred to the competent body, including the Saudi Authority for Intellectual Property at saip.gov.sa, and personal data matters through the National Data Governance Platform at dgp.sdaia.gov.sa. Submitting a report does not replace compliance with statutory claim or filing deadlines.

Relevant legislation and judicial decisions

These Terms are interpreted and applied in light of legislation in force and the nature and facts of the particular relationship, including:

- Civil Transactions Law: contract formation, good-faith performance, capacity, termination and liability. Article 96 addresses the court’s power to amend unfair terms in contracts of adhesion or release the adhering party from them.

- E-Commerce Law and its Implementing Regulations: pre-contract information, invoices, advertising and consumer rights, including cancellation, exceptions and delayed performance.

- Electronic Transactions Law and Law of Evidence: electronic contracting and the evidential treatment of electronic records, correspondence and digital evidence.

- Copyright Law and its Implementing Regulations: protection, licensing, exceptions, software and infringement notification procedures. The new law effective from 12 August 2026 is taken into account.

- Personal Data Protection Law and its regulations: lawful processing, data subject rights, direct marketing, processing by service providers and international transfers.

- Anti-Cyber Crime Law, Printed Materials and Publication Law, and Child Protection Law: relevant requirements concerning security, published content and protection of individuals and children.

- Commercial Court in Dammam, judgment 4630210533 in case 4571033920 of 1445 AH: the court relied on an email attributed to the defendant acknowledging the amount claimed and ordered payment. The judgment illustrates application of evidence rules to particular electronic correspondence; it does not make every email conclusive evidence.

- Commercial Court in Riyadh, judgment 4430884271 in case 4470602869 of 1444 AH: the court rejected a challenge to a decision concerning publication of a photograph without the required permission. The judgment applied the previous Copyright Protection Law; subsequent uses must be assessed under the law applicable to them.

Final provisions

These Terms must not be interpreted to contradict mandatory law or exclude a right that cannot lawfully be waived. Statutory rules concerning unfair terms, contractual interpretation and partial invalidity apply.

If a provision is invalid, its effect on the remainder of the contract is determined by law. It is not automatically replaced by a provision the parties have not agreed. Users retain statutory rights even where those rights are not individually listed in these Terms.
